ACCEPTANCE OF TERMS

Welcome to RichSurfer.com, a product of Top Edge Services LLC. RichSurfer.com and Top Edge Services LLC (collectively referred to herein with its parents, joint ventures, joint venture partners) provide this service to you free of charge, "as is," and subject to all applicable laws and regulations and the following Official Rules, which may be updated by RichSurfer.com from time to time without notice to you. You can review the most current version of the Official Rules at any time here.

By accessing RichSurfer.com and/or participating in its contests and promotions, you accept, without limitation or qualification, these Official Rules. In addition, when using particular RichSurfer.com services, you shall be subject to any posted guidelines or rules applicable to such services which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into these Official Rules.

RICHSURFER.COM'S CONTESTS ARE VOID WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS APPLY.

DESCRIPTION OF RICHSURFER.COM

RichSurfer.com enables people to win cash in return we will show you an ad and send you emails (no more than 1 a week). Everyone who enters the contest agrees to accept emails from richsurfer.com. Each contest has 1 grand prize of $500 and a secondary prize of $250, which is awarded to the referrer of the person who won the grand prize. There is no limit to the number of people you can refer. Only one entry per person. Also only one entry per email address. Mutiple entries will result in all entries being voided and not eligable for the contest.

PARTICIPATION AT RICHSURFER.COM

To enter the contests and participate in the promotions which constitute RichSurfer.com, you must navigate the Internet to the RichSurfer.com site at http://www.richsurfer.com (or referral links that have the primary domain name of richsurfer.com) and you must complete the online, official RichSurfer.com registration form. Upon completing registration, each registrant is entered into the drawing and is eligable to refer people to RichSurfer.com by using their own special referral code that is given out upon registration. Eligibility to win contests and promotions requires a valid email address, phone, name and a complete address.

By participating in RichSurfer.com contests, Members accept and agree to be bound by these Official Rules, the decision of the contest judges which shall be final and binding in all respects, and by individual contest official rules and regulations. SPAM (Unsolicited emails)
Top Edge Services LLC forbids contestants from sending unsolicted emails that link to or talk about RichSurfer.com. All members of RichSurfer.com must only send emails to people that they personally know and people know them and in addition each email must be Can Spam Act compliate. Any SPAM complaints can result in immediate disqualification of any contests and will void the person(s) entries.

ELIGIBILITY

No purchase or fee is required to enter or win at RichSurfer.com. RichSurfer.com's contests are open to United States residences who are eighteen (18) years of age or older. Residents from other countries are not eligible to participate in or win prizes in the RichSurfer.com chance-based contests and promotions.

RichSurfer.com requires users to be registered with a valid email address and to have a valid RichSurfer.com "ID Number" to enter RichSurfer.com's contests and participate in promotions. Registrants will be asked to provide their name, address, and email address. All Registrants will be given an "ID Number" which must be used in all communications with and interaction involving RichSurfer.com. Limit one ID Number per person. Members with multiple RichSurfer.com ID Number are subject to immediate disqualification and account termination by RichSurfer.com. RichSurfer.com expressly reserves the right, exercisable in RichSurfer.com's sole discretion without cause, to suspend or revoke the RichSurfer.com ID Number of any Member. RichSurfer.com Members are responsible for all activities that occur under their ID Number. Members agree to immediately notify RichSurfer.com of any unauthorized use of their ID Number. Any communication that is illegible, incomplete, late, does not include a validly issued "ID Number" will be disqualified.

All membership requires verification of email addresses to complete the online registration process, and once completed you are immediately entered into the contest.

The eligibility of all Members to receive prizes after winning RichSurfer.com contests is subject to all of the provisions contained in these Official Rules, without limitation. Employees, officers, directors, agents, representatives, sponsors and their immediate family (defined as parents, spouse, children, siblings, and grandparents) and household members, of Top Edge Services LLC are NOT eligible to win prizes in the RichSurfer.com contests and related promotions. Should Top Edge Services LLC determine, in its sole discretion, that any Member has violated any of the prohibitions contained in the Official Rules, Top Edge Services LLC shall have no obligation to award any prizes won by such Members.

Top Edge Services LLC assumes no responsibility for lost, late or misdirected mail, email or electronic communication. Incomplete, illegible, or mutilated communications, and communications submitted without a valid "ID Number" where required, will be disqualified.

RICHSURFER.COM IS FOR HUMANS

RichSurfer.com is a contest for humans, not machines. The use of machines, computers, software, scripts or any other automated system to enter contests at RichSurfer.com is strictly prohibited. You may not use any system to register people in bulk. Any violation of these terms will result in the Member's total and permanent disqualification from current and future RichSurfer.com contests, promotions and other features available on RichSurfer.com.

You can not submit someone else's information. Each person must submit their own information.

ANY ATTEMPT BY A MEMBER OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF RichSurfer.com IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, TOP EDGE SERVICES LLC RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH ENTRANT TO THE FULLEST EXTENT PERMITTED BY LAW.

REGISTRATION AND PRIVACY ISSUES

All registrations become the exclusive property of Top Edge Services LLC. Top Edge Services LLC reserves the right to use and reuse all registration information in accordance with the Top Edge Services LLC Network Privacy Policy.

By registering, and entering contests you grant RichSurfer.com the right to email you information about general products and services. There is no obligation to purchase. You will receive approximately 1 emails a week. At anytime you may opt out of receiving emails which will also remove your entries in the contest.

Top Edge Services LLC may be required to file certain information with various governmental agencies with respect to prizes exceeding certain amounts, and, in such event, a Member that wins any such prize must complete any written materials that may be required by any such governmental agencies and will be requested to do so by RichSurfer.com. Failure of a Registrant to comply with Top Edge Services LLC's request will result in the Member's forfeiture of such prize. Winners are solely responsible for all Federal, state, local or other applicable taxes with respect to the prizes awarded by RichSurfer.com.

Top Edge Services LLC will not sell, rent or give your information to any company or individuals. We respect your privacy. However, if you win a contest we will post your first name, last initial and state where you live on richsurfer.com. We may also request permission to post a picture of you if you wish to provide us with one.

PRIZE WINNERS

Each winner will receive a timely notification congratulating him/her on winning that RichSurfer.com contest. In most cases, the notification is in the form of an email prompt notifying the Member of his or her win. Members should allow thirty days for delivery of most prizes and cash award. Where appropriate, winnings are mailed as checks, in U.S. dollars, WITHIN THIRTY (30) DAYS AFTER CONFIRMATION OF A VALID WIN CLAIM. Confirmations and disqualifications of win claims for most contests are made essentially instantaneously during RichSurfer.com contests. The winner(s) of each RichSurfer.com contest or promotion are notified via email after each RichSurfer.com contest ends. In order to receive winnings or prizes or awards, Members must be eligible as described in these Official Rules, the contests specific official rules and in the RichSurfer.com on-line "help" manuals. EMAIL NOTIFICATIONS DO NOT CONSTITUTE A GUARANTEE OF PAYMENT OF ANY KIND. TOP EDGE SERVICES LLC RESERVES THE RIGHT TO VERIFY THE ELIGIBILITY OF ALL WINNERS PRIOR TO MAKING ANY PAYMENT TO THEM OF ANY KIND. TOP EDGE SERVICES LLC ALSO RESERVES THE RIGHT TO REFUSE PAYMENT TO ANY PERSONS WHO ARE NOT ELIGIBLE AS DESCRIBED IN THESE OFFICIAL RULES.

All taxes are the responsibility of the winner.

All contest winners may be required to submit valid identification and a valid "ID Number" to RichSurfer.com and to execute an Affidavit of Eligibility and Publicity and Liability Release Form within five (5) business days of first notification. Failure to comply within this time period may result in disqualification and awarding of the prize or winnings to another eligible Member.

TAXES

All taxes, fees and surcharges on prizes are the sole responsibility of the contest winners. RichSurfer.com, by law, may be required to withhold certain taxes or other assessments with respect to the prizes awarded on RichSurfer.com and reserves the right to withhold any such applicable taxes with respect to such prizes.

LIMITATIONS OF LIABILITY

TOP EDGE SERVICES LLC IS NOT RESPONSIBLE FOR ANY INCORRECT OR INACCURATE REGISTRATIONS OR CONTEST INFORMATION OR ENTRY OF INFORMATION, WHETHER CAUSED BY RichSurfer.com USERS OR BY ANY OF THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH OR UTILIZED IN RichSurfer.com OR BY ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE OPERATION OF RichSurfer.com. YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES SHALL TOP EDGE SERVICES LLC BE LIABLE TO ANY USER ON ACCOUNT OF THAT USER'S USE OR MISUSE OF AND RELIANCE ON RichSurfer.com OR ANY OF THE RichSurfer.com CONTESTS. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES (EVEN IF TOP EDGE SERVICES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SUCH LIMITATION OF LIABILITY SHALL APPLY WHETHER THE DAMAGES ARISE FROM USE OR MISUSE OF AND RELIANCE ON RichSurfer.com OR ANY OF THE RichSurfer.com CONTESTS, FROM INABILITY TO USE RichSurfer.com OR TO PLAY ANY RichSurfer.com CONTESTS, OR FROM THE INTERRUPTION, SUSPENSION, OR TERMINATION OF RichSurfer.com OR ANY RichSurfer.com CONTESTS (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION SHALL ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY REASON OF OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON RichSurfer.com OR RECEIVED THROUGH ANY LINKS PROVIDED IN RichSurfer.com, AS WELL AS BY REASON OF ANY INFORMATION OR ADVICE RECEIVED THROUGH OR ADVERTISED ON RichSurfer.com OR RECEIVED THROUGH ANY LINKS PROVIDED IN RichSurfer.com. SUCH LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. SUCH LIMITATION SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. UNDER NO CIRCUMSTANCES SHALL TOP EDGE SERVICES LLC BE HELD LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES, OR CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, INTERNET FAILURES, COMPUTER EQUIPMENT FAILURES, TELECOMMUNICATION EQUIPMENT FAILURES, OTHER EQUIPMENT FAILURES, ELECTRICAL POWER FAILURES, STRIKES, LABOR DISPUTES, RIOTS, INSURRECTIONS, CIVIL DISTURBANCES, SHORTAGES OF LABOR OR MATERIALS, FIRES, FLOODS, STORMS, EXPLOSIONS, ACTS OF GOD, WAR, GOVERNMENTAL ACTIONS, ORDERS OF DOMESTIC OR FOREIGN COURTS OR TRIBUNALS, NON-PERFORMANCE OF THIRD PARTIES, OR LOSS OF OR FLUCTUATIONS IN HEAT, LIGHT, OR AIR CONDITIONING. In some jurisdictions, limitations of liability are not permitted. In such jurisdictions, the foregoing limitation may not apply to you.

TERMINATION, SUSPENSION OR DISCONTINUATION OF CONTESTS

If, for any reason, RichSurfer.com or any RichSurfer.com contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Top Edge Services LLC which corrupt the administration, security, fairness, integrity or proper conduct of RichSurfer.com, Top Edge Services LLC reserves the right at its sole discretion to cancel, terminate, modify or suspend RichSurfer.com or any RichSurfer.com contest. Top Edge Services LLC reserves the right to halt the play of a contest or contests at any time and for any duration of time due to situations beyond its control such as strikes, acts of God, etc. In the event that Top Edge Services LLC cancels, terminates, or suspends the Promotion/Contest pursuant to these Official Rules, Top Edge Services LLC shall award all prizes pursuant to a method to be determined by Top Edge Services LLC in its sole discretion. In addition, Top Edge Services LLC reserves the exclusive right, exercisable in its sole discretion, to (i) add additional contests, along with such contests' official rules, to RichSurfer.com at any time, or (ii) discontinue any individual RichSurfer.com contest at any time without notice. No such discontinuation will occur in an individual RichSurfer.com contests which has not yet been won by a qualified Member in accordance with these Official Rules or the contest specific official rules. Top Edge Services LLC further reserves the exclusive right, exercisable at any time, without notice, to amend, add to, delete from, alter or otherwise change these Official Rules or any contest's specific official rules, in such manner as Top Edge Services LLC, in its sole discretion, shall determine appropriate for playing the RichSurfer.com contests and operating RichSurfer.com on the Internet. Top Edge Services LLC's exclusive rights expressed herein shall include, without limitation, the right to restrict the operating code of RichSurfer.com and the RichSurfer.com contests in order to prevent any unauthorized tampering with the operations or play of RichSurfer.com and the RichSurfer.com contests or any unauthorized use of computer programs, scripts or any other devices intended to automate any aspect of play in any RichSurfer.com contest. All decisions made with respect to RichSurfer.com, RichSurfer.com contests, these Official Rules and the contests specific official rules are the sole responsibility of Top Edge Services LLC.

INDEMNIFICATION AND RELEASE

By registering with RichSurfer.com or by entering RichSurfer.com contests, you agree to indemnify Top Edge Services LLC and its parents, subsidiaries, affiliates, officers, and employees and hold them harmless from any and all claims and expenses, including attorney's fees, arising from or relating to your use or misuse of RichSurfer.com, from any person's use of any account or password you maintain with RichSurfer.com, regardless of whether such use is authorized by you, or from acceptance, possession, misuse, or use of any prize. By registering with RichSurfer.com or by entering in RichSurfer.com contests, you are hereby agreeing to release Top Edge Services LLC and its parents, subsidiaries, affiliates, officers, and employees from any and all claims, demands, debts, obligations, damages (actual or consequential), costs, and expenses of any kind or nature whatsoever, whether known or unknown, suspected or unsuspected, disclosed or undisclosed, that you may have against them arising out of or in any way related to such disputes, RichSurfer.com, and/or any prize. You acknowledge and agree that Top Edge Services LLC is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that Top Edge Services LLC shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through RichSurfer.com, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. RELATIONSHIP OF PARTIES

You acknowledge and agree that you and Top Edge Services LLC are independent contractors under these Official Rules, and nothing herein shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party pursuant to these Official Rules has authority to enter into agreements of any kind on behalf of the other and neither party shall be considered the agent of the other.

MERGER

These Official Rules constitute the entire agreement between the parties with respect to the subject matter contained herein and supersedes any other agreement, proposals, represnetations and communications, written or oral, between Top Edge Services LLC and you with respect to the subject matter hereof; except that any other terms and conditions located on any individual Top Edge Services LLC Network web site or in connection with the products and services of the Top Edge Services LLC Network are incorporated herein by reference to the extent they do not conflict with these Official Rules. To the extent that any other terms and conditions or terms of service conflict with these Official Rules, those other provisions shall control with respect to the use of the particular web site and any products or services available on or through the web site or the respective product or service at which those other provisions may be found.

ARBITRATION, GOVERNING LAW AND FORUM FOR DISPUTES

Unless expressly stated to the contrary all legal issues arising from or related to the use of RichSurfer.com shall be construed in accordance with, and all questions with respect thereto shall be determined by, the laws of the State of Utah applicable to contracts entered into and wholly to be performed within said state. Any controversy or claim arising out of or relating to these Official Rules or any user's use of RichSurfer.com shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in West Jordan, Utah and judgment on the arbitration award may be entered into in any state or federal court in Utah having jurisdiction thereof. Any party seeking temporary or preliminary injunctive relief may do so in any state or federal court in Utah having jurisdiction thereof. Except as set forth above, the state and federal courts of Utah shall be the exclusive forum and venue to resolve disputes arising out of or relating to these Official Rules or any Member's use of RichSurfer.com. By using the Products and Services and thereby agreeing to these Terms and Conditions, users consent to personal jurisdiction and venue in the state and federal courts in Utah with respect to all such disputes.

VIOLATIONS OF OFFICIAL RULES

Should you violate these Official Rules or any other rights of Top Edge Services LLC, Top Edge Services LLC reserves the right to pursue any and all legal and equitable remedies against you, including, without limitation, terminating any and all user accounts on any and all of the Top Edge Services LLC Network web sites.
